IXYS Completes Merger With Paradigm

IXYS Corp. announced that it completed its previously announced merger transaction to acquire Paradigm Technology Inc.

Paradigm issued .057842 shares of Paradigm common stock for each share of IXYS capital stock, resulting in a total issuance of 11,513,821 shares of Paradigm common stock in exchange for all outstanding IXYS shares. Paradigm also assumed outstanding IXYS employee stock options and other outstanding equity-based compensation arrangements. Following the Merger, IXYS stockholders will hold approximately 95% of the total outstanding shares of Paradigm.

Paradigm and IXYS stockholders have both approved the acquisition, and all other regulatory matters were satisfied, completing the acquisition.

Immediately following the Merger, Paradigm changed its name to IXYS Corp. and beginning on September 24, 1998, shall be traded on the Nasdaq Small Cap as ``SYXI.''
